Terms of Service

These Terms of Service ("Terms") govern your use of quent-tech.com and any services provided by Quent Tech Ltd ("Quent Tech", "we", "us", "our"). By using this website or engaging us for services, you agree to these Terms. Specific engagements are governed by a separate written agreement (Master Services Agreement, Statement of Work, or Order Form), which prevails over these Terms in case of conflict.

The website and its content are provided for general informational purposes. You may view and share content for non-commercial purposes with attribution. You may not scrape, republish, or use the content to train machine-learning models without prior written permission.

3. Services

We provide IT consulting, staff augmentation, cloud architecture, and software engineering services on a B2B basis. Service scope, deliverables, fees, payment terms, and timelines are defined in the Statement of Work or Order Form for each engagement. Nothing on this website constitutes a binding offer.

4. Fees and payment

• Fees are stated in the engagement contract and are exclusive of VAT and other applicable taxes.
• Default payment terms are net 14 days from invoice date unless stated otherwise.
• Late payments may accrue interest at the statutory rate applicable in Cyprus.
• Reverse Charge under Article 196 of the EU VAT Directive applies to B2B clients established in another EU Member State.

5. Intellectual property

Unless agreed otherwise in writing, deliverables created specifically for a client under an engagement transfer to that client upon full payment. Pre-existing tools, templates, libraries, know-how, and methodology remain the property of Quent Tech and are licensed to the client on a non-exclusive, royalty-free basis to the extent needed to use the deliverables. All website content (text, graphics, code samples) remains the property of Quent Tech.

6. Confidentiality

Each party will protect the other's confidential information with the same degree of care it uses for its own, and not less than reasonable care. Confidentiality obligations survive termination for three (3) years, and indefinitely for trade secrets and personal data.

7. Warranties

We perform services in a professional and workmanlike manner, consistent with industry standards. The website and any informational content are provided "as is" without warranties of any kind, express or implied, to the maximum extent permitted by law.

8. Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to an engagement is capped at the fees paid by the client to Quent Tech under that engagement in the twelve (12) months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunity. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be limited under applicable law.

9. Data protection

Where we process personal data on behalf of a client, the parties will enter into a Data Processing Agreement compliant with Article 28 GDPR. Our handling of personal data collected through this website is described in the Privacy Policy. Privacy Policy.

10. Termination

Engagements may be terminated as set out in the relevant Statement of Work. Either party may terminate immediately for material breach not cured within thirty (30) days of written notice. Sections that by their nature should survive termination (IP, confidentiality, liability, governing law) do survive.

11. Governing law and jurisdiction

These Terms and any non-contractual obligations arising in connection with them are governed by the laws of the Republic of Cyprus, excluding its conflict-of-laws rules. The courts of Paphos, Cyprus have exclusive jurisdiction, save that we may bring proceedings to recover unpaid fees in any court of competent jurisdiction.

We may update these Terms from time to time. The current version is the one published on this page. Material changes will be indicated by updating the "Last updated" date at the top.
